Global Terms and Conditions for Use, Content, Services and Commerce

These Terms govern access to and use of the Fluye Ecosystem, including its present or future brands, media, content, products, platforms and services.
1. Binding Acceptance
By accessing, browsing, listening, registering, purchasing, contracting, submitting material, participating or using any part of the Ecosystem, you accept these Terms, the Privacy Policy and any applicable policies or contracts.
A simple visit does not by itself create a full waiver of non-waivable rights or replace consents that a law requires separately. However, continued use constitutes acceptance of validly communicated contractual rules.
2. Ecosystem Identity and No Corporate Confusion
The term "Fluye" or "Fluye Ecosystem" may be used to refer collectively to brands, divisions and projects operated by Fluye Radio LLC or Fluye Radio S.A.S. That name does not make each brand a separate legal entity.
Fluye Radio Studios is the main commercial, creative and technology brand. Fluye Radio operates as a communication, culture and content distribution brand. Fluye News is an editorial project. Frequencies of the World is a music and discovery project.
The contractual entity will be identified through the proposal, invoice, order, contract, communication or transaction context.
3. Worldwide Scope and Mandatory Rules
These Terms are drafted with special attention to the United States and Ecuador and apply globally. Mandatory rules of the consumer's place of residence may prevail when they cannot legally be excluded.
4. Eligibility
The user represents that they have legal capacity. Minors may purchase, contract, submit publishable content or participate in recordings only with authorization from their legal representative when required.
5. Accounts, Credentials and Security
The user must maintain accurate information, protect credentials and notify unauthorized uses. We may suspend access due to risk, fraud, breach, debt, abuse, legal order or the need to protect systems.
6. Limited License to Use
A limited, revocable, non-exclusive, non-transferable and non-sublicensable license is granted to use the Ecosystem as intended. No ownership is transferred over brands, code, content, databases, designs, methods or technology.
7. Prohibited Uses
- Copying, reselling, republishing, sublicensing, exploiting or creating unauthorized derivative products.
- Data extraction, scraping, crawling, mining, commercial indexing or AI training without written permission.
- Reverse engineering, decompiling, bypassing controls or investigating vulnerabilities without authorization.
- Impersonating, creating confusion, registering similar domains or accounts, or suggesting sponsorship.
- Publishing malware, fraud, phishing, spam, threats, hate, exploitation, unlawful sexual content or material that infringes rights.
- Interfering with streaming, servers, forms, bookings, payments, analytics or security.
8. Trademarks, Names, Corporate Image and Reputation
The names Fluye Radio, FluyeRadio.com, Fluye Radio Studios, Fluye News, Frequencies of the World and their logos, slogans, designs, trade dress, domains, program names and associated signs are protected assets or assets claimed by their owners.
No one may use, modify, imitate, animate, print, register, license, sell or associate these brands with products, accounts, events, news, music, applications or businesses without written authorization.
No permission is granted by silence, informal collaboration, social media tags, appearance in content, client relationship, music submission or external link.
9. Ecosystem Intellectual Property
The Ecosystem retains all rights over original content, identity, interfaces, templates, photographs, artwork, videos, jingles, scripts, posts, code, databases, systems, documentation, methodologies, automations, architecture, prompts, processes, tools, reusable components, software and know-how.
Protection extends to current versions, adaptations, translations, updates and future developments, without the need to list them individually.
10. Owned, Commissioned or Licensed Content
Certain materials may be created internally, commissioned, acquired or used under license, authorization or legal basis. Identifying content as "original," "official" or "Ecosystem" content does not necessarily mean that all underlying rights belong to a single entity; it means that its use is managed within the corresponding project.
11. Third-Party Content
Brands, music, images, videos, links, news and other materials may belong to third parties. Their presence does not imply transfer, sponsorship or warranty. Rights remain with their owners.
12. Submissions by Users, Artists, DJs and Collaborators
By submitting content, the sender represents and warrants that they own or control all necessary rights, permissions, licenses, releases and authorizations for compositions, masters, performances, samples, beats, voices, images, brands, videos, text and identifiable persons.
The sender assumes primary responsibility for the authenticity, origin, legality and accuracy of the material. Fluye is not obligated to conduct exhaustive ownership, registration or chain-of-rights searches and may reasonably rely on the sender's representations.
Acceptance of a file does not constitute legal validation, representation, agency, partnership, employment, exclusivity, promise of broadcast or income guarantee.
13. License Granted by the Person Submitting Content
The sender retains the rights legally belonging to them and grants the Ecosystem entities a worldwide, non-exclusive, royalty-free license unless otherwise agreed in writing, transferable to successors and sublicensable to necessary providers and distributors, to host, reproduce, convert formats, technically edit, mix, synchronize when authorized, translate, communicate, transmit, distribute, display, promote, index and archive the content in connection with the Ecosystem.
The license includes reasonable use of stage name, image, biography, cover art, credits, excerpts and promotional materials to announce the programming or project.
When a specific contract establishes a different scope, territory, term, royalties or exclusivity, that contract will prevail.
14. Frequencies of the World
Frequencies of the World combines content owned or controlled by the Ecosystem with music and materials submitted by emerging artists, DJs, producers, labels, representatives and independent collaborators.
The project acts as a space for curation, production, promotion, communication and digital distribution. Participation does not make the artist an employee, partner, representative or beneficiary of the Ecosystem's general revenue.
The artist acknowledges that any compensation, revenue share, exclusivity, special license or commercial use must be in writing. In the absence of a written agreement, no participation is presumed in advertising, subscriptions, sponsorships, product sales, Fluye Radio Studios services or general revenue from other areas.
Fluye may accept, reject, schedule, pause, remove, technically edit or stop using content for editorial, legal, commercial, reputational, territorial, technical or security reasons.
15. Original Music and Managed Catalogs
When music is identified as produced, commissioned, acquired, licensed or managed by the Ecosystem, its exploitation will be governed by the applicable contracts and rights. No user obtains rights to copy, sample, distribute, register, monetize or synchronize that music without authorization.
16. Sender Responsibility and Content Indemnification
To the fullest extent permitted by law, the sender will defend, indemnify and hold harmless Fluye Radio LLC, Fluye Radio S.A.S., their brands, owners, officers, workers, contractors and distributors from claims, losses, damages and reasonable expenses arising from lack of rights, false information, unauthorized samples, ownership disputes, contractual breaches, defamation, privacy or unlawful use of the submitted material.
Fluye may suspend or remove material in response to a claim, without implying any admission of liability.
17. Copyright and Takedown Procedure
Claims must identify the work, material, location, ownership, contact details, good faith statement, accuracy statement and signature. They must be sent to info@fluyeradio.com with the subject line "Copyright/DMCA."
We may remove, restrict, request documentation, notify the sender and accept a counter-notification when appropriate.
The publication of this procedure does not by itself mean that each entity has completed a designation of agent with the United States Copyright Office. The specific protections of Section 512 depend on effective compliance with its requirements.
18. Repeat Infringers and Intellectual Property Abuse
We may terminate accounts, relationships or access of users who repeatedly infringe rights, manipulate claims, submit fraudulent notices or use the procedure to censor lawful content.
19. Digital Radio, Streaming and Audio Distribution
The Ecosystem may offer internet audio, programs, broadcasts, channels, players, links, files or integrations. Availability may vary by territory, provider, catalog, applicable rights and operating conditions.
No text in these Terms should be interpreted as a statement of a specific regulatory category, concession, public authorization or concrete technical condition. Operations are subject to the applicable legal and contractual requirements.
The user may not capture, rebroadcast, restream, resell, systematically record, redistribute or exploit the signal except with authorization or a legal exception.
20. Podcasts, Interviews, Voice and Image
Participation implies authorization, according to the applicable agreement, for the recording and use of name, voice, image, biography and statements to produce, edit, distribute, promote and archive the content.
Fluye may edit for length, clarity, format, security, compliance or style, seeking not to deliberately alter the essential meaning.
21. Editorial Freedom and Moderation
The Ecosystem maintains editorial control. It may select, order, summarize, correct, label, demonetize, limit, reject or remove content. There is no obligation to publish or publicly explain internal decisions.
Moderation does not create a general duty to monitor all content or guarantee immediate detection of violations.
22. Fluye News
Fluye News offers news, community, analysis, illustrations, recreations and informational content. It seeks reasonable accuracy but does not guarantee total absence of errors or permanent updates.
Content does not replace official sources or legal, medical, financial, immigration or safety advice. In urgent matters, the user should consult the competent authorities.
We may correct, update, remove or maintain historical archives when there is an editorial, legal or documentary interest.
23. Artificial Intelligence
The Ecosystem may use AI for assisted writing, images, translation, transcription, moderation, analysis, support, design and automation. Outputs may contain errors or synthetic elements.
Third parties are not authorized to use Ecosystem content, databases, brands, voices, designs, code or publications to train, fine-tune, evaluate or enrich AI models without written permission.
Unauthorized cloning of voices, faces, distinctive styles or identities linked to the Ecosystem is prohibited.
24. Fluye Radio Studios: Nature of Services
Fluye Radio Studios provides creative, technology, production, development, strategy, design, branding, web, application, PWA, SEO, content, reputation, booking, analytics, automation, archive and related solution services.
The exact scope will be the one described in the accepted proposal, contract, invoice, order or communication. Anything not expressly included is considered outside the scope.
25. Quotes, Deposits, Milestones and Payments
Quotes may expire. Deposits reserve capacity, cover preparation and may be non-refundable once resources have been assigned or work has begun, except for mandatory rights.
The client must pay according to milestones. Fluye may suspend work, access, support, delivery or publication due to debt. Third-party expenses, taxes, licenses and subscriptions may be charged separately.
26. Scope Changes and Revisions
Included revisions are limited to what was agreed. New pages, features, campaigns, languages, integrations, redesigns, late changes or rework caused by incorrect information will be quoted separately.
27. Client Obligations
The client must provide materials, access and approvals on time; review text, prices and data; maintain licenses and permissions; respect rights; and designate authorized decision-makers.
The client is responsible for the legality of its business, advertising, products, services, policies, promotions, databases and approved content.
28. Deliverables, Ownership and Client Licenses
The transfer of rights over final deliverables depends on the agreement and full payment. Fluye retains tools, components, reusable code, templates, systems, methodologies, processes, knowledge, libraries and pre-existing materials.
Licenses for fonts, photographs, music, plugins, software and third-party services are governed by their own terms and are not transferred beyond what is permitted.
29. Code, Software, SaaS, APIs and Future Products
All code, platforms, APIs, panels, modules, databases, multi-client systems, automation or reusable infrastructure created as part of the Ecosystem remain the property of the owning entity unless there is an express written transfer.
The client may receive a limited use license. The client may not resell, copy, fork, decompile, sublicense, extract or use it to create a competing product.
30. Portfolio and Attribution
Unless prohibited in writing, Fluye may display public work, trade names, screenshots, results and general descriptions in portfolios, awards, social media and case studies.
Products may display reasonable attribution such as "Powered by Fluye Radio Studios," linked to its official page, when agreed or when it forms part of the service.
31. Confidentiality
The parties will protect non-public information identified or reasonably understood as confidential. Public data, information legitimately known, independently developed information or information required by law is not considered confidential.
32. SEO, Advertising and Results
No rankings, sales, followers, virality, approvals, reviews, conversions, income or account permanence are guaranteed. Third-party algorithms and policies may change outside Fluye's control.
33. Providers and External Platforms
Hosting, payment, domain, network, messaging, distribution, analytics and logistics services belong to third parties. Fluye does not control their interruptions, prices, suspensions, loss of features or decisions.
34. Store, Apparel and Merchandise
The Ecosystem may sell apparel, accessories, promotional products, custom items, digital products or third-party products. Prices, colors, sizes, materials and availability may vary within reasonable tolerances.
Photographs are illustrative; screens, lighting and production processes may produce minor differences.
35. Orders and Acceptance
An order is not accepted until confirmed. We may cancel due to obvious error, inventory, fraud, breach, shipping restrictions or operational impossibility, refunding what is legally required.
36. Shipping, Risk and Delivery
Delivery times are estimates unless there is a written guarantee. We are not responsible for carrier delays, customs, weather, force majeure, incorrect address or recipient absence.
The client must report damage, loss or errors promptly and preserve packaging and evidence.
37. Returns, Exchanges and Refunds
Customized, made-to-order, digital, intimate, hygiene-related or used items may be final sale where permitted by law. Changes of mind or incorrectly selected sizes may be excluded according to the policy shown at purchase.
Nothing removes mandatory rights for defective, incorrect or legally non-compliant products. The remedy may be repair, replacement, credit or refund depending on the law and circumstances.
38. Payments, Fraud and Chargebacks
The buyer authorizes confirmed charges. Fraud, use of another person's card, false documents, abusive chargebacks or manipulation of evidence may result in cancellation, collection of reasonable costs and reporting to providers or authorities.
39. Promotions, Contests and Events
Each promotion may have additional rules. We may modify or cancel due to fraud, error, force majeure or legal requirement. Participation does not guarantee a prize, publication or commercial relationship.
40. Advertising, Sponsorships, Affiliates and Monetization
The Ecosystem may generate revenue from advertising, sponsorships, services, products, subscriptions, affiliates, licenses and other activities.
The presence of content from an artist, guest or user does not grant them participation in general revenue unless there is a specific written agreement. Monetization of a platform, page, channel or project does not automatically turn each incorporated content item into a partnership, revenue share or fiduciary relationship.
41. Reviews, Opinions and Testimonials
Opinions belong to their authors. We may moderate fraud, abuse, irrelevance or illegality. Testimonials are individual experiences and do not guarantee results.
42. Links and External Content
We do not guarantee third-party sites, offers, security or content. The user accesses them at their own risk and should review external terms.
43. Availability and Changes
Services are offered subject to availability. We may change, suspend, migrate, remove or replace features, providers, programming, designs or business models.
We do not guarantee continuous operation, universal compatibility or absence of errors.
44. Security and Responsible Use
The user must not attempt to access unauthorized areas, discover credentials, test vulnerabilities, overload resources or bypass measures. Security research requires prior written authorization.
45. Warranty Disclaimers
To the fullest extent permitted, the Ecosystem is offered "as is" and "as available," without implied warranties of merchantability, fitness, accuracy, availability or non-infringement, except for non-waivable warranties.
46. Limitation of Liability
To the fullest extent permitted by law, the entities, brands, owners, officers, workers, contractors, providers and collaborators will not be liable for indirect, incidental, special or exemplary damages, loss of profits, data, reputation, opportunities or interruption.
When liability cannot be excluded, total cumulative liability will be limited to the greater of the amount actually paid for the specific service during the previous six months and USD 100, unless the law requires another limit.
Nothing excludes liability that cannot legally be excluded, such as proven fraud, intentional conduct or non-waivable rights.
47. General Indemnification
The user or client will indemnify the Ecosystem for claims arising from their content, instructions, business, products, illegal use, breach, rights violation or false information, to the extent permitted.
48. Force Majeure
There will be no liability for events outside reasonable control, including disasters, war, unrest, epidemics, cyberattacks, outages, internet failures, providers, carriers, authorities, strikes or regulatory changes.
49. Suspension and Termination
We may suspend or terminate access, content, contract or account due to debt, breach, risk, claim, fraud, legal order, service closure or reputational and technical protection.
50. Survival of Rights
Clauses regarding ownership, licenses, payments, confidentiality, indemnification, disclaimers, limitation and disputes will survive termination.
51. Governing Law and Dispute Resolution
For relationships contracted by Fluye Radio LLC, the laws of the State of Ohio and the federal laws of the United States will apply, except for mandatory rules. For relationships contracted by Fluye Radio S.A.S., the laws of Ecuador will apply, except for mandatory rules.
Before litigating, the parties will attempt to resolve the dispute through written notice and good-faith negotiation for at least thirty days, except in cases of urgency, intellectual property, fraud or injunctive relief.
The specific jurisdiction will correspond to the competent courts of the contracting entity's domicile, without prejudice to mandatory consumer venues.
52. Injunctive Relief and Intellectual Property
Unauthorized use of brands, code, secrets, music, content or systems may cause irreparable harm. The affected entity may seek injunctive relief in addition to other remedies, without limiting applicable legal defenses.
53. Assignment, Affiliates and Successors
The user may not assign these Terms without permission. The entities may assign them to affiliates, successors, acquirers or reorganized entities, subject to law.
54. Severability, No Waiver and Headings
If a clause is invalid, it will be adjusted to the maximum permitted extent and the remainder will remain in effect. Failure to exercise a right is not a waiver. Headings make reading easier and do not limit interpretation.
55. Entire Agreement and Precedence
These Terms, the Privacy Policy and specific contracts form the agreement. A signed contract prevails over these Terms with respect to its subject matter. Third-party policies do not modify internal obligations unless expressly incorporated.
56. Updates
We may update these Terms due to legal, technological, business or risk changes. The current date will appear at the beginning. Material changes will be communicated when required by law.
